1. General Provisions
1.1 Program Description
The Sentz Earn (“Earn”) program allows a user (“you,” “your”) of the Sentz app, a non-custodial cryptocurrency wallet, to earn rewards on the balance of the eUSD digital assets stored in the user’s account held in their non-custodial wallet.
Provided that you are eligible and enroll in the program, as described below, you will accrue rewards that may be redeemed for an amount of cryptocurrency that is a percentage of the daily balance of cryptocurrency in your account. You must claim accrued rewards in the app in order for them to then be deposited into your account. They are not deposited automatically. Once you claim accrued rewards, they will be deposited into your wallet for your use.
In enrolling your non-custodial cryptocurrency wallet in the program, you consent to sharing certain personal and transaction information with Sentz. This includes the following data:
- your identity, including Know-Your-Customer (“KYC”) information;
- the amounts and timestamps of funds deposited in your wallet; and
- the amounts and timestamps of funds in your wallet spent by you.
1.2 Acceptance of the Terms of Service
These terms of service (“Earn ToS”), as well as the Sentz Terms of Service (“Sentz ToS”) and any other terms incorporated by reference herein, constitute a legally binding contract between you and MobileCoin Inc. (dba Sentz Global) (“Sentz,” “we,” “us,” “our”). By enrolling in the Earn program, you agree that you have read and understood the Earn ToS, the Sentz ToS, and any other documents referenced herein. You also agree to be bound by the Earn ToS, as updated and amended from time to time.
2. Program Provisions
2.1 Eligibility
To be eligible to enroll in the Earn program and earn rewards, you must: (a) be an existing Sentz user in good standing in an eligible country; (b) not be subject to any sanctions imposed by any government; and (c) have a balance of at least $1 in your Sentz account.
We may adjust these eligibility criteria at any time without notice.
If at any time we determine that you no longer meet the eligibility criteria in (a), (b), or (c) above, or that you are otherwise in violation of the Earn ToS, or for any other reason or for no reason, we reserve the right to immediately terminate your access to the Earn program without notice and cancel any of your accrued but unclaimed rewards.
2.2 Rewards Accrual
Rewards are accrued daily based on the balance of your Sentz wallet at the end of each calendar day (as further described below). The rate at which you earn rewards (the “Rewards Rate”) is currently 8%, calculated annually as a daily compounding rate. The Rewards Rate may vary based on market conditions and other financial conditions and is subject to change.
2.3 Unclaimed Rewards Calculation
The Earn program calculates each day’s rewards by adding your preexisting unclaimed rewards balance to your wallet’s balance and applying the Rewards Rate for that day. This day’s rewards are then added to your unclaimed rewards balance.
In the event that the Earn program learns of funds received by your wallet after the day on which your wallet received those funds, it will re-evaluate your wallet’s balance and recalculate the corresponding rewards for each day between when you last claimed rewards and the current day.
2.4 Claiming Rewards
You must claim accrued rewards via the Sentz app for them to be deposited into your account.
You can claim your rewards in your waller by opening the app, tapping on the Earn Rewards Program, and then tapping Claim Rewards. At this point, your unclaimed rewards will be transmitted to your wallet by the Earn program as eUSD, and your unclaimed rewards balance will be reset to 0.
You must have accrued a minimum unclaimed rewards balance of $0.01 before you may claim it. This Minimum Claim Amount may vary and is subject to change. Any change will take effect at the time we update these terms online at https://www.sentz.com/legal/earn-terms-of-service.
You are required to claim rewards within 60 days after your unclaimed rewards balance reaches the Minimum Claim Amount. After 60 days without claiming eligible rewards, your wallet will pause accruing additional rewards. This pause will end and your wallet will resume accruing rewards after the unclaimed rewards balance is claimed, as long as it is still enrolled in the program.
After 90 days without claiming rewards, your unclaimed reward balance will be forfeited and you will be unenrolled from the Earn program. Your unclaimed reward balance shall not be construed as tangible property and shall not escheat to the state. To earn rewards under the program again, you will need to meet the eligibility criteria above and re-enroll.
2.5 Termination
We may terminate the Earn program at any time without notice. If we terminate (other than for your violation of the Earn or Sentz ToS), you will be required to place your final claim within 90 days of such termination or forfeit your unclaimed rewards as per section 2.4. At our discretion we may choose to deposit unclaimed rewards into your account automatically upon program termination.. If for any reason you do not wish to claim your rewards, please contact customer support at [email protected] to cancel your rewards. If, at the time of termination, you have unclaimed rewards but they do not exceed the minimum claim amount, then you will forfeit the entirety of the unclaimed rewards balance.
3. Miscellaneous Provisions
3.1 Entire Agreement
The Earn ToS, the Sentz ToS, and any other documents incorporated by reference herein comprise the entire agreement between you and Sentz. Section headers are for convenience only and shall not govern the meaning or interpretation of any provision of the earn ToS.
3.2 Amendment
We reserve the right to amend the Earn ToS from time to time without notice. If we do amend the Earn ToS, we will post the revised Earn ToS on the Sentz app and/or provide you a copy, with such amendment being effective immediately upon posting but not retroactively. Continued use of the Earn program constitutes acceptance of the revised Earn ToS. If you do not agree with the revised Earn ToS, your sole and exclusive remedy is to terminate your enrollment in the Earn program.
3.3 Severability
If any provision of the Earn ToS, in whole or in part, shall be determined to be invalid or unenforceable by a court or governmental body of competent jurisdiction, such provision shall be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any applicable law and the validity or enforceability of any other provision of the Earn ToS shall not be affected.
3.4 Survival
All provisions of the Earn ToS which by their nature extend beyond the expiration or termination of the Earn ToS, including provisions related to suspension and termination, shall survive the expiration or termination of the Earn ToS.
3.5 Relationship
Sentz is not a trustee, investment adviser, or fiduciary, nor do we become your trustee, investment adviser, or fiduciary by providing services under the Earn program. We have no obligations to you other than those expressly identified in the Earn ToS.
3.6 Assignment
We reserve the right to assign our rights under the Earn ToS without restriction, including without limitation to any Sentz affiliates or subsidiaries, or to any successor in interest of any business associated with Sentz. You may not assign any rights under the Earn ToS without our prior written consent. Any such attempted assignment in violation hereof shall be null and void.
3.7 Governing Law
You agree that the Earn ToS, without regard to principles of conflict of laws, as well as any disputes shall be governed by the laws of the State of California, except to the extent governed by federal law.
3.8 Waiver
The delay or failure on our part to require strict performance by you of any provision of the Earn ToS or to exercise any right under the Earn ToS shall not be construed as a waiver of our right to require such strict performance at any time thereafter. Furthermore, the delay or failure on our part to seek recovery for your non-performance shall not be construed as a waiver of our right to seek recover for any subsequent non-performance on your part.
3.9 Indemnification
You agree to defend, indemnify, and hold harmless Sentz, its affiliates and service providers, and each of their respective employees, officers, directors, and representatives from any claim or demand (including attorneys’ fees) arising out of or related to your breach of the Earn ToS or your violation of any law, rule, regulation, or the rights of any third party.
3.10 Limitation of Liability
NOT WITHSTANDING ANY OTHER PROVISION TO THE CONTRARY, IN NO EVENT SHALL SENTZ, ITS AFFILIATES AND SERVICE PROVIDERS, OR ANY OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, OR REPRESENTATIVES BE LIABLE TO YOU OR ANY THIRD PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES ARISING OUT OF, RELATING TO, OR IN CONNECTION WITH ANY BREACH OF THIS AGREEMENT, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT YOU WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR (C) THE THEORY (CONTRACT, TORT, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.
NOT WITHSTANDING ANY OTHER PROVISION TO THE CONTRARY, IN NO EVENT SHALL SENTZ’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE EARN PROGRAM EXCEED THE LESSER OF $200.00 OR THE TOTAL OF THE FEES PAID TO SENTZ PURSUANT TO THE EARN TOS IN THE 12 MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Except as otherwise provided in the Earn ToS, as well as the Sentz ToS and any other terms incorporated by reference herein, we disclaim all other warranties, whether express, implied, or statutory, made to you, your affiliates, or any other person, to the maximum extent permitted by applicable law. We expressly disclaim, without limitation, any implied warranties of title, merchantability, fitness for a particular purpose and/or non-infringement.
Both parties acknowledge and agree that both parties entered into the Earn ToS in reliance upon the limitation of liability, that it reflects an allocation of risk between the parties (including the risk that a contract remedy may fail of its essential purpose and cause consequential loss), and that it forms an essential basis of the bargain between the parties.
3.11 Force Majeure
We shall not be liable for any delay, error, interruption of service or failure to perform any obligation under the Earn ToS which results from any cause or condition beyond our reasonable control, including, but not limited to significant market volatility, acts of God, acts of civil or military authorities, acts of terrorists, civil disturbance, war, strike or other labor dispute, fire, interruption in telecommunications or Internet services or network provider services, failure of equipment and/or software, pandemic, other catastrophe or any other occurrence which is beyond our reasonable control.
3.12 Tax Obligations
Regulatory uncertainty in the taxation of digital assets may expose you to tax risk. It is your sole responsibility to determine, report, and pay any taxes arising from your enrollment in the [Sentz Earn] program.
